Mutual Non-Disclosure Agreement

Agreement Overview

By submitting this form, you ("Party B") agree to enter into a Mutual Non-Disclosure Agreement with Eight Bit Studios, LLC ("Party A") to explore a potential business relationship and exchange confidential information ("Proprietary Information"). This Agreement is effective as of the date of submission ("Effective Date").

Proprietary Information includes, but is not limited to, business plans, financial data, technical designs, customer lists, pricing, and any information identified as confidential.

Confidentiality Obligations

Both parties agree to keep Proprietary Information confidential, not disclose it to third parties other than professional advisors bound by confidentiality, use it only to evaluate the relationship, and ensure any employees or agents are similarly bound.

Exclusions

These obligations do not apply to information that becomes public (not through the fault of the Receiving Party), was known or independently developed before disclosure, is lawfully received from others, or must be disclosed by law with prompt written notice to the Disclosing Party if permitted.

No Warranties

All information is provided "as is," without warranties. This Agreement does not require either party to proceed with a relationship or to disclose any information.

Duration, Return & Remedies

Confidentiality obligations remain in effect for three (3) years from disclosure. Upon request, either party will return or destroy all Proprietary Information received from the other within thirty (30) days. Unauthorized disclosure may cause irreparable harm entitling the Disclosing Party to injunctive relief.

Governing Law

This Agreement is governed by the laws of Illinois. It cannot be assigned or amended without written consent. If any part is found invalid, the rest remains in effect.
